Terms of Service

By accessing or using the Faceify Labs platform (the “Platform”), including any website, application, API, or related service operated by Faceify Labs Pvt. Ltd. (“Faceify Labs,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”).

If you are accessing the Platform on behalf of a medical practice, clinic, hospital, or other organization (“Organization”), you represent and warrant that you have the legal authority to bind that Organization, and that your acceptance of these Terms constitutes acceptance by the Organization.

If you do not agree to these Terms, you must immediately cease all use of the Platform. These Terms are effective as of the date you first access the Platform and remain in effect until terminated in accordance with Section 17.

• Platform — the Faceify Labs web application, APIs, simulation engines, and associated services available at faceifylabs.com and any sub-domains.
• Simulation — an AI-generated visual preview of a prospective aesthetic or surgical outcome produced by the Platform for consultation purposes.
• Patient Data — any facial image, biometric data, or personal information uploaded by a User for the purpose of generating a Simulation.
• Subscriber — a licensed medical professional or Organization that has entered into a paid subscription agreement with Faceify Labs.
• Authorized User — any individual authorized by a Subscriber to access and use the Platform under the Subscriber's account.
• Patient User — an individual who accesses the Platform through a Patient Portal invitation issued by a Subscriber, for the purpose of viewing or consenting to Simulations related to their own care.
• Content — all text, images, videos, graphics, software, data, and other material made available on or through the Platform.
• Applicable Law — all applicable local, national, and international laws and regulations, including healthcare regulations, data protection laws, and professional licensing requirements applicable in the User's jurisdiction.

The Platform serves two distinct user types, each with their own access pathway and obligations:

Medical Professionals (Subscribers & Authorized Users)

The full Platform is intended for use by licensed medical and aesthetic professionals, including plastic surgeons, cosmetic surgeons, dermatologists, maxillofacial surgeons, and aesthetic practitioners. By registering an account, you represent and warrant that:

• You hold a valid, current license to practice medicine or an aesthetic profession in your jurisdiction;
• You are at least 18 years of age;
• You are legally permitted to enter into binding contracts;
• You will use the Platform only in connection with legitimate clinical, educational, or consultation activities;
• All information you provide during registration is accurate, current, and complete.

Patient Users

Patient Users may access a limited view of the Platform only through a secure, time-limited invitation link provided by their treating Subscriber. Patient Users do not require a professional license, but must be of legal adult age in their jurisdiction, or have verifiable parental or guardian consent if under legal adult age. See Section 4 for full Patient User terms.

Faceify Labs reserves the right to verify credentials and to decline or revoke access to any individual who does not meet these eligibility requirements.

You are responsible for maintaining the confidentiality and security of your account credentials, for all activity that occurs under your account, and for ensuring that Authorized Users comply with these Terms.

You may not share account credentials with individuals who are not Authorized Users, and you may not allow any individual who does not meet the eligibility requirements to access the Platform using your credentials. Faceify Labs is not liable for any loss or damage arising from unauthorized account access due to your failure to maintain credential security.

Immediately notify us at ceo@faceifylabs.com of any unauthorized access or suspected security breach.

Access to certain features of the Platform requires a paid subscription. By subscribing, you agree to:

• Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis as selected at the time of purchase.
• Payment: You authorize Faceify Labs to charge the payment method on file for all applicable fees. All prices are in USD unless otherwise stated and are exclusive of applicable taxes.
• Taxes: You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in your jurisdiction.
• Auto-Renewal: Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings.
• Refunds: Fees are non-refundable except as required by Applicable Law or as expressly stated in a separate agreement with Faceify Labs.
• Price Changes: We reserve the right to change subscription pricing upon 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

Subject to these Terms and your subscription plan, Faceify Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful professional and clinical purposes.

You agree NOT to:

• Use the Platform for any unlawful purpose or in violation of any Applicable Law;
• Reverse-engineer, decompile, disassemble, or attempt to extract source code from the Platform;
• Reproduce, redistribute, resell, or sublicense access to the Platform without our express written consent;
• Use automated scripts, bots, or scrapers to access or interact with the Platform;
• Upload malicious code, viruses, or any content intended to disrupt or damage the Platform;
• Use Simulations for marketing or promotional purposes without a valid Enterprise agreement;
• Present Simulations to patients as guaranteed outcomes or medical guarantees;
• Share, publish, or distribute Patient Data without proper patient consent;
• Attempt to access another user's account or data without authorization;
• Use the Platform in any way that could bring Faceify Labs or the medical profession into disrepute.

Simulations are illustrative tools, not medical predictions or guarantees of surgical outcome.

All AI-generated previews produced by the Platform are approximations generated for the purpose of facilitating patient-surgeon communication and consultation planning. They are not diagnostic tools, clinical recommendations, or surgical plans. Actual results will differ due to individual anatomy, surgeon technique, patient healing response, post-operative care, and other clinical, biological, and environmental factors.

Faceify Labs does not provide medical advice. The Platform is a professional tool designed to support, not replace, the clinical judgment of a qualified medical professional. All clinical decisions must be made exclusively by a licensed, board-certified medical professional following a proper clinical assessment of each patient.

You agree to use Simulations only as part of a broader clinical consultation process and to clearly communicate to patients the non-predictive, illustrative nature of any Simulation shown.

As a Subscriber, you bear full responsibility for obtaining and documenting appropriate patient consent before using the Platform in any patient-facing context:

• Obtain explicit, informed consent from each patient before uploading or processing their facial images;
• Consent must clearly inform the patient that the Simulation is an illustrative tool and not a guarantee of outcome;
• Retain documentation of patient consent in accordance with the healthcare recordkeeping requirements of your jurisdiction;
• For minor patients, obtain and document verifiable parental or guardian consent prior to any use of the Platform in their consultation;
• Ensure compliance with all applicable patient privacy and data protection regulations, including HIPAA (United States), PDPA (Thailand, Singapore), PIPA (South Korea), DPDP Act (India), and any other applicable laws.

On-Device Processing:All Patient Data (including facial images) is processed entirely within the patient's browser or the User's device using client-side AI models. No Patient Data is transmitted to or stored on Faceify Labs servers. This architectural protection does not eliminate your independent obligations as a data controller under Applicable Law.

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

With respect to personal data processed through the Platform:

• Subscribers act as the data controller for Patient Data and are responsible for the lawful basis of processing;
• Faceify Labs acts solely as a technology provider and does not access, store, or process Patient Data on its servers;
• Account data (name, email, professional credentials, billing information) is processed by Faceify Labs as described in our Privacy Policy;
• Aggregate, anonymized usage analytics may be collected to improve the Platform and cannot identify individual patients.

If you are located in a jurisdiction that requires a Data Processing Agreement (DPA), please contact us at ceo@faceifylabs.com to request a DPA addendum.

All rights, title, and interest in and to the Platform—including its software, algorithms, AI models, UI/UX design, branding, documentation, and Content—are and remain the exclusive property of Faceify Labs Pvt. Ltd. and its licensors. Nothing in these Terms transfers any ownership rights to you.

You may not, without prior written consent from Faceify Labs:

• Copy, reproduce, or redistribute any portion of the Platform or its Content;
• Create derivative works based on the Platform, its algorithms, or its outputs;
• Use Faceify Labs' name, logo, trademarks, or branding in any marketing materials;
• Claim ownership over any Simulation output or represent it as proprietary to your practice for commercial purposes.

Feedback: If you provide suggestions, feedback, or ideas regarding the Platform, you grant Faceify Labs a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without any obligation to you.

The Platform may integrate with or rely on third-party services, including:

• Vercel — cloud hosting and deployment infrastructure;
• Resend — transactional email delivery;
• Google AI / OpenAI / Groq — clinical AI chatbot and AI-assisted features;
• Neon (PostgreSQL) — account and metadata storage.

These third-party services operate under their own terms of service and privacy policies. Faceify Labs is not responsible for the practices of third-party providers.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND.

To the fullest extent permitted by Applicable Law, Faceify Labs expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement; any warranty that the Platform will be uninterrupted or error-free; and any warranty regarding the accuracy, reliability, or completeness of Simulation outputs.

Faceify Labs makes no warranty that Simulations accurately predict surgical outcomes for any particular patient, and expressly disclaims any responsibility for clinical decisions made in reliance on Simulation outputs.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FACEIFY LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

This exclusion applies regardless of the legal theory and even if Faceify Labs has been advised of the possibility of such damages. Excluded damages include, without limitation: loss of revenue, profits, business, or data; harm to patients arising from clinical decisions informed by Simulation outputs; Platform downtime, data loss, or service interruptions; and unauthorized access to or alteration of your account or data.

In no event shall Faceify Labs' total aggregate liability exceed the greater of (a) the fees paid by you in the three (3) months preceding the event, or (b) USD 500.

You agree to defend, indemnify, and hold harmless Faceify Labs, its officers, directors, employees, contractors, and licensors from and against any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your violation of any Applicable Law; (c) any patient complaint or claim arising from your clinical use of Simulations; (d) your failure to obtain proper patient consent; or (e) any third-party claim arising from content you submit, upload, or transmit through the Platform.

Each party may have access to Confidential Information of the other party. Each party agrees to: (a) keep such information strictly confidential; (b) not disclose it to third parties without prior written consent; and (c) use it only for the purposes of these Terms.

These obligations do not apply to information that is publicly available through no fault of the receiving party, was rightfully known prior to disclosure, or is required to be disclosed by Applicable Law or court order.

These Terms are effective from the date you first access the Platform and continue until terminated by either party.

Termination by You: You may terminate your account at any time by contacting us or through your account settings. Termination does not entitle you to a refund of prepaid fees.

Termination by Faceify Labs: We may suspend or terminate your access immediately, with or without notice, if you materially breach these Terms, continued access poses a risk to patients or the Platform, required by Applicable Law, or you fail to pay subscription fees when due.

Effect of Termination: Your right to access the Platform ceases immediately. Sections 8, 11, 13, 14, 15, 18, and 19 survive termination.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute shall be subject to the exclusive jurisdiction of the courts of Mumbai, India. Faceify Labs may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for 30 days following written notice.

Unresolved disputes shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Mumbai, India; the language shall be English. The arbitral award shall be final and binding.

Faceify Labs reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date, sending an email notification, and displaying a prominent notice within the Platform.

Your continued use of the Platform after the effective date constitutes acceptance of the changes. If you do not agree to revised Terms, you must stop using the Platform.

• Entire Agreement: These Terms, together with the Privacy Policy and any subscription order form, constitute the entire agreement between you and Faceify Labs regarding the Platform.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect.
• Waiver: Failure to enforce any provision shall not be deemed a waiver of future enforcement.
• Assignment: You may not assign these Terms without our prior written consent. Faceify Labs may freely assign in connection with a merger, acquisition, or sale of assets.
• Force Majeure: Faceify Labs shall not be liable for delays resulting from circumstances beyond its reasonable control.
• Language: These Terms are drafted in English. In the event of any conflict between translations, the English version shall prevail.
